Will I get automatic refunds through SEDAR+?

No. SEDAR+ won’t process automatically refunds and will require regulators to do it manually. In some situations, the system may identify that a refund is available, but you would still have to contact regulators to request that refund. If authorized, you would be able to see a refund transaction on your payment basket, but the refund payment will be performed outside of the system.

How do I know if I’m eligible for a refund?

You may be eligible for a refund if the system displays a message to contact the regulator about a refund. However, the amount of refund will not be displayed in SEDAR+. Refunds for regulatory fees will be handled locally by each jurisdiction and will not be processed through SEDAR+. If you think you are entitled to a refund:

Is there a deadline for requesting a refund?

For regulatory fees, there is no single deadline across all filing types and jurisdictions for requesting a refund. For more information, contact the respective securities regulatory authority where the refund request will be made (for contact information, click on the following link Contact Us).

Can filing fees and/or late fees be transferred from an incorrect filing to another filing?

No, you must submit the correct filing in SEDAR+ and pay the fees a second time, then submit refund requests to each jurisdiction for the incorrect filing.

How will the funds be returned?

Approved refunds will first be applied to offset fees owing by the filer. Refunds, or the remaining amount of the refund, will be issued by securities regulatory authority, or the CSA Service Desk (for any system fees) as applicable. Depending on the securities regulatory authority and the way the original payment was made, a refund may be processed by electronic funds transfer, or cheque.

Are refunds handled differently for issuers outside of Canada?

Typically, refund cheques are sent to issuers outside of Canada in Canadian Dollars.  Confirm with the securities regulatory authority how they will manage your refund.

How do I request a system fee refund?

If you think you are eligible for system fee refund, contact the CSA Service Desk (for contact information, click on the following link Contact Us). The CSA Service Desk will send you a Refund Request form for you to fill out and return, or you can find the form by selecting the following link Refund Request Form template. The returned form must include a copy of the fee basket on the filing. For information about how to find the basket, select the following link View basket and basket transactions. Once received, the CSA Service Desk will review the form for accuracy and pass it to the Principal Regulator for approval. You will be notified of the status of your request and the time it will take to process the refund if it’s approved (usually 4-6 weeks).

System refund requests must be received within 6 months of the filing being made. Approved refunds will be sent by EFT or by the same method as the original payment was made.
